DESCRIPTION OF SERVICES
Neriva Global Corp provides professional property management services, which may include but are not limited to:
2.1. Marketing and advertising rental properties;
2.2. Tenant screening and placement;
2.3. Lease administration and execution;
2.4. Rent collection and financial reporting;
2.5. Property maintenance coordination and emergency repairs;
2.6. Compliance with Wyoming residential landlord-tenant laws.
2.7. We act as an agent for Property Owners. Our role is to facilitate the management of the property as an independent contractor, not as a legal partner or joint venturer.
SCOPE OF THESE TERMS
These Terms apply to:
3.1. Property owners, landlords, and investors (“Owners”)
3.2. Tenants and prospective tenants (“Tenants”)
3.3. Any individual or entity engaging Neriva’s services globally
3.4. Certain services may be governed by separate written agreements (including Property Management Agreements or Lease Agreements). In the event of a conflict, the signed agreement shall prevail.
GLOBAL SERVICES AND JURISDICTIONAL VARIATIONS
4.1. Neriva offers services globally. Laws governing property management, tenancy, consumer protection, and data privacy vary by jurisdiction.
4.2. Additional local terms may apply
4.3. Certain services may be limited or unavailable in some regions
4.4. Mandatory local consumer or tenant protections remain unaffected
4.5. Nothing in these Terms waives rights that cannot be waived under applicable law.
USER OBLIGATIONS (PROPERTY OWNERS)
Owners must provide accurate and complete Personal Data regarding property ownership and tax status.
Owners must ensure that any property managed by Neriva is in a "safe and sanitary condition fit for human habitation" in accordance with Wyo. Stat. § 1-21-1202.
Owners are responsible for maintaining adequate property and liability insurance. Neriva shall not be held liable for damages resulting from an Owner's failure to maintain coverage.
TENANT TERMS AND RENTAL PAYMENTS
6.1. Rent Collection: Rent is due on the date specified in the individual Lease Agreement. Neriva reserves the right to charge late fees as permitted by Wyoming law.
6.2. Security Deposits: All security deposits are handled in accordance with Wyo. Stat. § 1-21-1208. Refunds (less lawful deductions) will be processed within thirty (30) days of lease termination or fifteen (15) days after receipt of a forwarding address.
6.3. Evictions: In the event of non-payment or lease violations, Neriva will issue the required 3-day Notice to Quit as a prerequisite to any Forcible Entry and Detainer action.
DATA PROTECTION AND PRIVACY
7.1. We process Personal Data, not personal information. Our use of your data is governed by our Privacy Policy.
7.2. By using our services, you acknowledge that your Personal Data will be stored on servers located in the United States and processed in accordance with Wyoming and US Federal law.
PROPERTY MANAGEMENT SERVICE TERMS (Applies to All Service Packages)
This Section constitutes a binding Property Management Agreement for services purchased through the Website.
AUTHORITY TO ACT
9.1. Owner appoints Neriva as a non-exclusive managing agent for the property or properties identified during onboarding (“Property”).
9.2. Neriva is authorised to:
9.2.1. Communicate with tenants
9.2.2. Collect rent and deposits
9.2.3. Coordinate maintenance and repairs
9.2.4. Respond to emergencies
9.3. Emergency actions may be taken without prior Owner approval where reasonably necessary to protect life, property, or legal compliance.
MAINTENANCE AND REPAIRS
10.1. Neriva may coordinate routine maintenance and repairs through independent contractors. Unless otherwise agreed in writing, Owner authorises Neriva to approve non-emergency repairs up to a reasonable monetary threshold consistent with local market practices.
10.2. Emergency repairs may be authorised without limitation where necessary to protect life, property, or legal compliance.
NO GUARANTEE OF PERFORMANCE
Neriva does not guarantee tenant placement, rental income, occupancy rates, lease renewal, or market performance. All projections, estimates, or opinions are provided for informational purposes only and do not constitute guarantees.
TENANT SCREENING
Tenant screening is conducted using commercially reasonable methods based on available information at the time. Neriva does not warrant the accuracy or completeness of third-party background, credit, or reference reports and is not responsible for a tenant’s future conduct, financial performance, or compliance with lease terms.
CLIENT FUNDS
Rent, deposits, and other funds may be held in segregated trust or operating accounts in accordance with applicable law and standard property management practices. Neriva shall not be liable for losses caused by financial institutions or payment processors beyond its reasonable control.
THIRD-PARTY CONTRACTORS
All contractors and service providers engaged for property services are independent contractors. Neriva does not control their work and is not liable for their acts or omissions, except to the extent required by law.
OWNER REPRESENTATIONS AND OBLIGATIONS
Owner represents and warrants that:
15.1. They have legal authority over the Property
15.2. The Property complies with health, safety, zoning, and habitability laws
15.3. Adequate property and liability insurance is maintained
15.4. All information provided to Neriva is accurate and complete
15.5. Owner remains responsible for taxes, utilities, repairs, and operating costs
MAINTENANCE, REPAIRS AND SPENDING AUTHORITY
Neriva may coordinate maintenance through independent contractors.
16.1. Emergency repairs may be approved without limitation
16.2. Non-emergency spending limits are defined by the selected service package or onboarding terms
TENANT SCREENING AND LEASING
17.1. Tenant screening is conducted using commercially reasonable methods and third-party data.
17.2. Neriva does not guarantee:

17.2.2. Rent payment
17.2.3. Lease compliance
17.2.4. Future occupancy
17.3. Leases may be prepared using standard templates adapted for local law. Neriva does not provide legal advice.
RENT, DEPOSITS AND CLIENT FUNDS
18.1. Rent and deposits are handled in accordance with applicable law.
18.2. For Wyoming properties, security deposits are managed pursuant to Wyo. Stat. § 1-21-1208.
18.3. Client funds may be held in trust or operating accounts. Neriva is not responsible for losses caused by banks or payment processors beyond its reasonable control.
NO GUARANTEES
19.1. Neriva does not guarantee:
19.1.1. Rental income
19.1.2. Occupancy rates
19.1.3. Tenant placement
19.1.4. Lease renewals
19.1.5. Market performance
19.2. All projections or estimates are informational only.
FEES, PACKAGES AND BILLING
20.1. Fees, billing frequency, and included services are determined by the selected service package displayed on the Website at the time of purchase.
20.2. Fees for services already rendered are non-refundable, unless required by law.
THIRD-PARTY CONTRACTORS
21.1. All contractors and vendors are independent third parties.
21.2. Neriva is not liable for their acts or omissions, except where required by law or caused by Neriva’s gross negligence.
RELIANCE ON OWNER INFORMATION
Neriva may rely on information, instructions, and representations provided by the Owner without independent verification and shall not be liable for errors or omissions resulting therefrom.
INDEPENDENT CONTRACTOR STATUS
Neriva acts as an independent contractor, not an employee, fiduciary, partner, or joint venturer of the Owner.
FORCE MAJEURE
Neriva shall not be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, acts of war, terrorism, labour disputes, government actions, pandemics, or utility failures.
REGULATORY COMPLIANCE
Neriva provides services subject to applicable licensing and regulatory requirements. Certain services may not be available in all jurisdictions. Neriva does not provide legal or tax advice and does not guarantee compliance with local laws unless expressly agreed in writing.
INTELLECTUAL PROPERTY
26.1. All content on our website, including text, graphics, logos, and software, is the property of Neriva Global Corp and is protected by US and international copyright laws.
26.2. You are granted a limited, non-exclusive licence to access the website for personal use. You may not reproduce or commercialise any part of our website without written permission.
LIMITATION OF LIABILITY
27.1. Neriva Global Corp shall not be liable for the acts, omissions, or negligence of third-party contractors (e.g., plumbers, electricians) hired on behalf of an Owner, provided we used reasonable care in selecting such contractors.
27.2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NERIVA SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS OR BUSINESS INTERRUPTION, ARISING OUT OF THE USE OF OUR SERVICES.
27.3. We do not warrant that the website will be error-free or uninterrupted. Access is provided on an "as-is" and "as-available" basis.
LIMITATION OF LIABILITY (SERVICES)
28.1. To the maximum extent permitted by law, Neriva shall not be liable for indirect or consequential damages, including loss of rent or profits.
28.2. Where liability cannot be excluded, it is limited to the fees paid to Neriva during the preceding three (3) months.
INDEMNIFICATION (SERVICES)
Owner agrees to indemnify and hold harmless Neriva from claims arising from:

29.2. Owner’s breach of these Terms
29.3. Tenant claims not caused by Neriva’s gross negligence or wilful misconduct
TERMINATION
Either party may terminate a service agreement by providing thirty (30) days' written notice, unless a Upon termination, Neriva will provide a final accounting of funds and transfer all relevant Personal Data and property records to the Owner or their designated agent.
SURVIVAL
Provisions relating to liability, indemnification, governing law, and dispute resolution shall survive termination of these Terms.
GOVERNING LAW AND VENUE
32.1. These Terms, their subject matter, and their formation are governed by the laws of the State of Wyoming, without regard to conflict of law principles.
32.2. Any legal action or proceeding relating to these Terms shall be instituted exclusively in the state or federal courts located in Sheridan, Wyoming. You irrevocably submit to the jurisdiction of these courts.
MODIFICATIONS
We may revise these Terms from time to time to reflect changes in the law or our business practices. The most current version will always be posted on our website. Your continued use of our services after changes are posted constitutes your acceptance of the new Terms.
ELECTRONIC COMMUNICATIONS
You consent to receive notices, statements, and documents electronically and agree that electronic signatures are legally binding to the fullest extent permitted by law.
